TERMS OF USE

These Terms of Use ("Terms") govern your access to and use of the video games, websites, and other services (collectively, the "Services") provided by Superposition NULL OÜ ("we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services. Our Privacy Policy and our Video & Streaming Policy form part of these Terms. 

1. ELIGIBILITY AND AGE LIMITATIONS

UnLoop is rated PEGI 12 under IARC certificate d82f5b58-056d-4a10-8daf-114279282498, and its content is intended to be suitable for players aged 12 and over. Age ratings for our other titles are shown on their respective store pages.

By using the Services, you represent, warrant and covenant that: (a) you are 13 years of age or older, or, if you are younger, you use the Services with the consent and supervision of your parent or legal guardian and through a parent-managed platform account where the platform provides one; (b) if you are under the age of majority in your country of residence, you have obtained your parent or guardian's consent to use the Services in accordance with these Terms; (c) you meet the minimum age requirements of the platform and hardware through which you access the Services; and (d) your use of the Services does not violate any applicable law or regulation.

Hardware manufacturers and storefronts — including virtual reality headset makers — set their own minimum age requirements, which apply in addition to these Terms. Always check and follow the requirements applicable to your device and platform account, and see Section 9 (Health and Safety) regarding the supervision of minors.

2. LICENSE TO USE THE SERVICES 

Subject to your continuing compliance with these Terms, Superposition NULL OÜ grants you a non-exclusive, non-transferable, revocable limited license to access and use the Services for your personal, non-commercial entertainment purposes. You agree not to use the Services for any other purpose, except as expressly permitted by our Video & Streaming Policy, which allows the creation and monetization of video content featuring our games. 

3. INTELLECTUAL PROPERTY

The Services, including all software, source code, artwork, characters, environments, models, textures, animations, music, sound, text, user interface, level design, narrative, dialogue, logos, and the names and marks "UnLoop" and "Superposition NULL", whether registered or unregistered, are owned by Superposition NULL OÜ, its publishing partners, or its licensors, and are protected by copyright, trademark, and other intellectual property laws.

UnLoop is developed by Superposition NULL OÜ and published by CM Games OÜ, which holds the intellectual property rights in that game. Superposition NULL OÜ administers UnLoop with the authority of CM Games OÜ, and any licence granted in respect of UnLoop under these Terms or under our Video & Streaming Policy is granted on its behalf.

Except for the limited license granted in these Terms and in our Video & Streaming Policy, no rights in the Services are granted to you, whether by implication, estoppel, or otherwise.

If you believe that content made available through the Services infringes your intellectual property rights, please contact us at legal@superpositionnull.com with details of the material concerned and the basis of your claim.

4. VIDEO CONTENT AND STREAMING

Recording, livestreaming, publishing, and monetizing video content featuring our games is governed by our Video & Streaming Policy, available at https://www.superpositionnull.com/video-streaming-policy. In the event of a conflict between these Terms and the Video & Streaming Policy with respect to video content, the Video & Streaming Policy prevails.

5. CODE OF CONDUCT AND RESTRICTIONS

You agree that you will not:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services.

• Use any cheats, exploits, automation software, bots, hacks, or unauthorized third-party software or modifications designed to interfere with the Services, to gain an unfair advantage, or to circumvent any technical protection measure.

• Distribute, sell, or transfer your access to the Services to any third party.

• Use the Services to harass, abuse, or harm others, or to post, transmit or facilitate the distribution of objectionable content.

6. VIRTUAL ITEMS AND PURCHASES (IN-APP PURCHASES, IAP)

In the future, the Services may include opportunities to purchase virtual, in-game currency or virtual items ("Virtual Items") using real-world money.

• Virtual Items have no real-world value and cannot be exchanged for real money.

• You do not own Virtual Items; you receive a limited, revocable license to use them in the Services.

• Superposition NULL OÜ prohibits and does not recognize any purported transfers of Virtual Items outside of the Services, or the sale, gift, or trade in the "real world" of anything that appears or originates in the Services.

• All purchases are processed through third-party platforms (e.g., Steam, Meta, PICO, PlayStation Store, Playdate Catalog) and are subject to their respective refund policies. Where you are a consumer in the European Union, your statutory rights in respect of such purchases are exercised through the platform from which you made the purchase.

7. USER GENERATED CONTENT (UGC)

The Services may allow you to create, upload, or share content ("User Postings"). By submitting User Postings, you grant Superposition NULL OÜ and its affiliates a perpetual, irrevocable, worldwide, fully paid-up and royalty-free, non-exclusive, unlimited license to use, copy, reproduce, adapt, modify, and display your User Postings in connection with the Services. You represent and warrant that your User Postings do not violate the intellectual property rights of any third party. We reserve the right to remove any User Postings at our sole discretion.

8. COMPETITIONS, EVENTS, SWEEPSTAKES, AND TOURNAMENTS

From time to time, we may offer promotions, sweepstakes, or contests. These events will be governed by specific official rules. By participating, you will be subject to those rules, which may vary from the terms set forth herein. Third-party platforms or storefronts are not sponsors of, nor are they involved in, our sweepstakes or contests.

9. HEALTH AND SAFETY (VIRTUAL REALITY)

Please read this section before playing. A small percentage of people may experience seizures, blackouts, or eye strain triggered by flashing lights or patterns, including people with no history of epilepsy or seizures. This applies to all of our games, on any platform.

The remainder of this section applies to our games that are played in virtual reality. Some users may experience motion sickness, dizziness, disorientation, nausea, headaches, drowsiness, or impaired balance during or after VR play.

Our VR games are designed to be played standing, with room to move. Before playing, clear your play area of people, furniture, pets, and other obstacles, and ensure you have adequate space to move safely. Where a seated mode is offered, it is provided as an accessibility option and the experience is not optimised for it.

Take a break of at least 10–15 minutes every 30 minutes of play. Do not play while tired, when in need of sleep, under the influence of alcohol or drugs, or when suffering from fatigue, headaches, or digestive problems. Do not drive, operate machinery, or undertake other activities requiring balance, coordination, or visual acuity until you have fully recovered.

Discontinue use immediately and consult a physician if you experience any adverse symptoms. Always follow the health and safety guidance provided by the manufacturer of your headset. Minors should be supervised at all times, and you must observe the minimum age requirements set by your headset manufacturer.

10. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SUPERPOSITION NULL OÜ MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Nothing in this section affects the statutory warranty rights of consumers under applicable mandatory law.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SUPERPOSITION NULL OÜ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF THE SERVICES.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or for any other liability that cannot be excluded or limited under applicable mandatory law. If you are a consumer resident in the European Union, nothing in these Terms affects your statutory rights.

12. TERMINATION

We may suspend or terminate your access to the Services, in whole or in part, if you materially breach these Terms, if required by law, or if required by a platform operator through which the Services are distributed. Termination does not affect any rights or obligations accrued before termination. The sections concerning intellectual property, user generated content, disclaimers, limitation of liability, and governing law survive termination.

13. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be resolved in the competent courts located in Tallinn, Estonia.

If you are a consumer habitually resident in the European Union, this section does not deprive you of the protection afforded by provisions that cannot be derogated from by agreement under the law of your country of residence, and you may bring proceedings in the courts of that country.

14. GENERAL

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall remain in full force and effect. Our failure to enforce any provision of these Terms is not a waiver of that provision or of any other.

You may not assign or transfer your rights or obligations under these Terms. We may assign ours to a successor in connection with a merger, acquisition, or sale of assets, provided that your rights under these Terms are not diminished.

These Terms, together with our Privacy Policy and our Video & Streaming Policy, constitute the entire agreement between you and us regarding the Services and supersede any prior understanding on the same subject.

15. CHANGES TO THESE TERMS

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the date at the top of these Terms and, depending on the specific changes, we may provide additional notice. Your continued use of the Services after the changes become effective constitutes your acceptance of the revised Terms.
